Terms and Conditions

OVERVIEW

This website is owned and operated by Nutrition for Longevity Inc. Throughout the site, the terms “we”, “us” and “our” refer to Nutrition for Longevity. This website www.n4lhealth.com (the “website” or “site”) is one channel through which Nutrition for Longevity provides meal delivery services, produce box delivery services, medically tailored meal programs, and dietitian consultation services (collectively, the “Services”). Nutrition for Longevity delivers its Services through three primary channels: (1) direct-to-consumer (“DTC”) sales through this website; (2) business-to-consumer (“B2C”) arrangements in which individual consumers access Services through health plan benefit programs, partner referrals, or payer-covered arrangements; and (3) business-to-business (“B2B”) agreements with institutional clients—including employers, healthcare systems, senior living communities, and other organizations—that procure Services on behalf of their members, employees, residents, or patients. These Terms of Service apply across all three channels. Where a separate written agreement governs a B2B or B2C relationship, that agreement controls to the extent it conflicts with these Terms. Nutrition for Longevity offers this website, including all information, tools, and services available from this site, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site, purchasing directly from us, accessing our Services through a health plan or partner benefit program, or entering into a business agreement with us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all parties engaging with our Services, including without limitation individual DTC consumers, B2C consumers accessing Services through health plans or partner programs, B2B institutional clients, browsers, vendors, merchants, and contributors of content.

Please read these Terms of Service carefully before accessing or using our website or Services in any channel. By accessing or using any part of the site, or by receiving Services through a DTC, B2C, or B2B arrangement, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service. Any new features, tools, or service channels which are added shall also be subject to the Terms of Service.

We may change the Site, Privacy Policy, or Terms at any time at our sole discretion with or without notice. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website or Services following the posting of any changes constitutes acceptance of those changes. Our direct-to-consumer online store is hosted on Shopify Inc., which provides the e-commerce platform for individual consumer purchases made through this site. B2B clients and institutional partners transact through separate contractual arrangements outside of the Shopify platform.

SECTION 1 – SERVICE TERMS AND ELIGIBILITY

By agreeing to these Terms of Service, individual consumers (DTC and B2C) represent that they are at least the age of majority in their state or province of residence, or that they have given consent for minor dependents to use this site. B2B clients and institutional partners represent that the individual accepting these Terms has authority to bind their organization, and that all individuals accessing Services under their arrangement are duly authorized to do so. You may not use our products or Services for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us. B2B clients may not sublicense, resell, or redistribute Services to third parties beyond the scope expressly authorized in their written agreement with Nutrition for Longevity. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 – PURCHASE AND PAYMENT

If you wish to make a purchase for a Product or Service on the Site or to redeem a gift card (“purchase”), you must supply payment information including, without limitation, your full name, phone number, payment card number, expiration month, billing address, and delivery information. If you enroll in a subscription Service, your payment card information will be stored securely, and you will be charged every week unless you skip or cancel as described in the “Terms of Sale”. B2C consumers whose Services are covered or subsidized through a health plan, payer, or partner benefit arrangement may have their costs billed directly to the applicable plan or payer pursuant to a separate agreement; such consumers should confirm coverage and any cost-sharing obligations with their plan or partner prior to ordering. B2B institutional clients are invoiced and pay pursuant to the terms of their separately executed agreement with Nutrition for Longevity, which governs payment schedules, invoicing terms, and billing disputes for institutional orders.

Making a Purchase and providing your payment information provides authorization (or a third-party payment processor) to charge you for the total amount of the Purchase (including any applicable taxes, shipping charges and other fees). By providing this information, you allow us to provide your information to third-parties in order to facilitate the purchase.

By making this purchase and providing your payment information, you represent and warrant that you have the legal right to use any credit card(s) or payment method(s) in connection with that Purchase, and that the information you provide is true, accurate and complete.

If the payment method cannot be verified, is invalid or is in any way not acceptable, your purchase may be cancelled. Purchase may proceed only after the problem is resolved. Payment information can be updated at any time by logging into your account and updating your personal information.

We reserve the right to refuse or cancel your Purchase at any time for certain reasons including but not limited to: Product or Service availability problems, errors in fulfilling your order, errors in the description or price of a Product or Service, or if fraud or an illegal or unauthorized transaction is suspected.

Nutrition for Longevity partners with health plan payers including Medicaid managed care organizations, Medicare Advantage plans, and commercial health insurance carriers to make our medically tailored meal and nutrition services available to eligible members as part of covered benefits, care management programs, or supplemental benefit arrangements. These partnerships are subject to separate agreements between Nutrition for Longevity and the applicable health plan or payer, and the terms of those agreements govern the specific scope of covered services, eligibility requirements, and payment arrangements.

Medicaid Programs. Nutrition for Longevity works with state Medicaid agencies and Medicaid managed care organizations to provide nutrition services, medically tailored meals, and dietary support to qualifying Medicaid beneficiaries. Services provided under Medicaid programs are subject to applicable state and federal Medicaid regulations, the terms of our agreements with the relevant managed care organization or state agency, and any applicable member eligibility criteria. Medicaid members accessing our services through a health plan partnership should contact their health plan directly to confirm eligibility, coverage terms, and any applicable cost-sharing obligations.

Medicare Programs. Nutrition for Longevity partners with Medicare Advantage plans and other Medicare program participants to offer nutrition services and medically tailored meal programs as supplemental benefits or as part of chronic disease management and care coordination initiatives. These arrangements may include coverage for medically tailored meals, dietitian consultations, and condition-specific nutrition support as part of wellness programs, value-based care initiatives, or supplemental health benefits. The scope and coverage of services available to commercial plan members is determined by the terms of the applicable health plan and our agreement with that plan. Commercial plan members should contact their health plan or employer benefits administrator to determine what nutrition services may be covered or reimbursable under their plan.

Where services are delivered pursuant to a health plan payer partnership, these Terms of Service apply to your use of our website and any direct purchase transactions. However, the delivery of services covered or reimbursed under a Medicaid, Medicare, or commercial health plan arrangement is further governed by the applicable payer agreement, plan documents, and any applicable federal or state law. In the event of any conflict between these Terms and the terms of an applicable payer agreement or plan document, the payer agreement or plan document shall govern with respect to covered services.
